Legal

Overview

  • Nobody loves contracts, except attorneys.  At Netflix, we try to remove as much friction as possible to make the process as quick and as painless as possible so that we can start working together.  We’ve streamlined our contracts and created them so that they are fair to both parties.  
  • While the Netflix Legal team cannot provide you with legal advice, your Netflix lead can answer many of the questions you may have.  If they can’t answer them, then they can connect you with the appropriate Netflix Legal team member who may be able to assist you or your attorney, should you elect to consult with one.

Contracts

NDA

  • Before the details regarding an engagement of a partner can begin, a Non-Disclosure Agreement (“NDA”) must be signed and returned to Netflix to protect the confidentiality of the information shared by the parties. 
  • The NDA will be generated by your Netflix lead and automatically emailed to you for your signature.
  • Once you have signed an NDA with Netflix, there is no need to sign another NDA for any future projects with Netflix.

MSA

  • Assuming we do not already have an MSA in place, once you and Netflix have agreed to pursue a project together, you will need to sign a Master Services Agreement (“MSA”) with Netflix.  Your Netflix lead will send you a copy of our standard MSA for your review and signature.
  • Please note:
    • Once signed, the MSA will govern all projects with Netflix. The particular services for each subsequent project will be covered in a Statement of Work (“SOW”).
    • Work on the project cannot commence without signing and returning the MSA to your Netflix lead.

SOW

  • In addition to the MSA, our form SOW shall be used to clearly outline the agreed upon scope of the project including services, deliverables, timeline and  budget.
  • Please note:
    • An SOW is required for every project we undergo with you and will be  needed in order to obtain a PO# (see FinOps section for more detail on billing).
    • If expenses are approved by Netflix for an SOW, they shall not have any mark-ups.
    • Work on the project covered by the SOW cannot commence without signing and returning the SOW to your Netflix lead. 
    • Your Netflix lead will send you a copy of our form SOW for your review, input and signature.

Photography Services Agreement

If you are a freelance photographer, a photography services agreement is required in order to proceed with the project. Please reach out to your Netflix lead for more information and to obtain the Netflix photograph services agreement for your review and signature.

Pitch Agreement

In the event we are asking you to pitch on a project, it is likely you will be asked to review and sign our Pitch Agreement unless we already have a  Master Service Agreement in place (in which case you will pitch under an SOW). Please check with your Netflix contact on which contract will be most appropriate for your circumstances.

Friendly Reminders

  • While all of the terms in the MSA are important to Netflix, it is your responsibility to be familiar with all of them.
  • Here are a few of the terms you’ve agreed to that we don’t want you to forget :)  
    • Confidentiality:  Confidential information means…
      • ANY and ALL information related to the project on which you are working. 
      • ANY and ALL contributions that you personally make or contribute to within the project and/ or your performance.
    • Rights: Netflix is a global service.  Accordingly, we require you to obtain worldwide, all media, in perpetuity clearance of rights.  If there is a restriction in securing such rights, please discuss with your Netflix lead before agreeing to any such restrictions.
    • Subcontracting and Freelancers: Have questions about hiring subcontractors and/or freelancers for a Netflix project? Be sure to refer to the MSA for guidance and responsibilities.

FAQs

I’ve already signed an NDA with Netflix, do I need to again?

No. Netflix only requires that you sign one NDA with Netflix. Please inform your Netflix lead that you have signed one in the past and have them verify it is in our system.

I’ve already signed an MSA with Netflix, do I need to again?

No. Netflix only requires that you sign one MSA with Netflix. Please inform your Netflix lead that you have signed one in the past and have them verify it is in our system.

I’ve signed the NDA/MSA/SOW, now what do I do with it?

Our NDA process is automated, so we will receive a signed copy once you’ve signed it electronically on your end.  For MSAs and SOWs, please return the signed copies to your Netflix lead who will countersign and send you a fully executed copy for your records.

I’m not sure if we’ve signed an NDA or MSA with Netflix, how do I find out?

Reach out to your Netflix lead who can check our contract database.

I have a question about the NDA, MSA or SOW, who do I contact?

Reach out to your Netflix lead who can then connect you with someone on our Marketing Legal team.  While Netflix cannot provide you with legal advice, our Marketing Legal team can answer questions that you and your attorney may have.

I have a signed SOW, but the work has now changed. What should I do?

Work with your Netflix Marketing lead to amend or execute a new SOW to outline the changes in the scope of work.
